SAP announced on July 17, 2026 that the Prior Labs acquisition has closed. Prior Labs will remain an independent entity within SAP, while the German enterprise software group supplies long-term funding and a direct route into its business software portfolio.

The central commitment is more than 1 billion euros over the next four years. SAP says the investment will scale Prior Labs into a globally significant AI laboratory for structured data and accelerate work that SAP began with its own SAP-RPT-1 model.

More than 3 million TabPFN downloads support an open-source base

Prior Labs was founded by Frank Hutter, Noah Hollmann and Sauraj Gambhir. Its TabPFN model family is built for tabular data, rather than general text generation. SAP reported that TabPFN has been downloaded more than 3 million times and said it will continue supporting the company’s open-source strategy.

The development base matters commercially because structured information sits inside finance, procurement, supply chain, sales and customer systems. Prior Labs’ models are intended to make predictions from tables without requiring a separate model training process for every use case. SAP has identified payment delays, supplier risk, upselling and customer churn as potential applications.

Four years of funding connect research with enterprise distribution

The transaction combines a research-led AI company with SAP’s enterprise product and customer infrastructure. SAP said the work can be productized through SAP AI Core, SAP Business Data Cloud and Joule, its agentic AI layer. Prior Labs will retain its independent operating structure, which is intended to preserve research speed while adding capital and distribution.

SAP’s official rationale places structured data models alongside general language models in its enterprise AI strategy. The company says large language models are not optimized for numerical tables and statistical relationships. Tabular foundation models are being developed as a specialized layer for business prediction and decision support.
